Welcome to Direct STR. These Terms of Service ("Terms") govern your access to and use of the DirectSTR.com website, platform, and related services (collectively, the "Services") provided by Direct STR ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
1. Overview of Services
Direct STR provides technology and marketing services for vacation rental property owners, including:
- Custom booking websites and direct booking infrastructure
- Marketing and demand generation through vertical travel channels
- Private MLS-style distribution network for affiliates and partners
- Guest concierge tools and guest verification services
Direct STR is a technology and services provider. We are not a real estate broker, property manager, or travel agency. We do not own, manage, or control any properties listed on our platform. Property owners are solely responsible for the accuracy of their listings, compliance with local laws, and fulfillment of guest reservations.
2. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate
- Keep your login credentials confidential and secure
- Accept responsibility for all activity under your account
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or unauthorized activity.
3. Property Owner Responsibilities
If you are a property owner using our Services, you agree to:
- Ensure all listing information (availability, pricing, descriptions, photos) is accurate and up to date
- Comply with all applicable local, state, and federal laws, including short-term rental regulations, tax obligations, and occupancy limits
- Maintain appropriate insurance coverage for your properties
- Honor confirmed reservations and communicate promptly with guests
- Respond to guest inquiries and issues in a timely manner
4. Guest Responsibilities
If you are a guest using our platform to make a reservation, you agree to:
- Provide accurate personal information and complete any required identity verification
- Comply with all property rules, rental agreements, and house policies
- Treat the property with care and report any damages promptly
- Adhere to all applicable laws during your stay
5. Bookings and Payments
Bookings made through Direct STR are agreements between the guest and the property owner. Direct STR facilitates the booking process but is not a party to the rental agreement between guest and owner.
- Payment terms, cancellation policies, and refund procedures are set by each property owner and displayed at the time of booking
- Payments are processed through third-party payment providers integrated with our platform
- Direct STR does not hold or escrow guest funds; payments are routed directly to the property owner or their designated account
- Disputes regarding payments, cancellations, or refunds should be directed to the property owner in the first instance
6. MLS Distribution Network
Property owners who opt into our MLS distribution network agree that:
- Their listing information (including availability, pricing, photos, and property details) may be shared with approved affiliates and partners within the network
- Commission structures and terms are governed by separate affiliate agreements
- Direct STR may display listings on partner websites and marketing channels to generate demand
- Owners retain full control over their pricing, availability, and booking acceptance
7. Intellectual Property
All content, design, software, trademarks, and materials on DirectSTR.com are the property of Direct STR or its licensors and are protected by intellectual property laws. You may not:
- Copy, reproduce, or distribute any content from our platform without written permission
- Use our trademarks, logos, or branding without authorization
- Reverse engineer, decompile, or attempt to extract source code from our platform
Property owners retain ownership of their listing content (photos, descriptions, etc.) and grant Direct STR a non-exclusive license to display and distribute that content through our platform and marketing channels.
8. Prohibited Conduct
You agree not to:
- Use our Services for any unlawful or fraudulent purpose
- Submit false, misleading, or deceptive information
- Interfere with or disrupt the operation of our platform
- Attempt to gain unauthorized access to our systems or user accounts
- Scrape, harvest, or collect data from our platform without permission
- Circumvent any security measures or access controls
9. Limitation of Liability
To the maximum extent permitted by law, Direct STR shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services, including but not limited to:
- Loss of revenue, bookings, or business opportunities
- Property damage or personal injury resulting from a guest stay
- Disputes between property owners and guests
- Third-party actions or failures, including payment processor errors
- Service interruptions or data loss
Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the fees paid by you to Direct STR in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Direct STR, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.
11. Disclaimer of Warranties
Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or secure.
12. Termination
We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use our Services ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Your continued use of our Services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
